Generation Next to float IPO

FE Report

Textile maker Generation Next Ltd Wednesday held a road-show for institutional investors, as the company plans to go public under the book building method.

BRAC EPL Investment Ltd, the issue manager of Generation Next, valued shares at Tk 50 each: Tk 10 in face vale and Tk 40 in premium.

Generation Next will use the proceeds from the initial public offer to expand business and repay outstanding loans.

The company will offload 30 million ordinary shares. Of the 30 million shares, 60 percent will be allotted for the general public, 20 percent for eligible investors, 10 percent for mutual funds and 10 percent for non-resident Bangladeshis.

Now, the investors will have to offer bidding prices in three workdays, which will ultimately fix an indicative price.

"We will finally submit the indicative price to the market regulator after averaging all biding prices from the eligible investors," said Khaled Farazi, managing director of BRAC EPL.

Tauhidul Islam Chaudhury, chairman of Generation Next, described the strengths of the business, while Javed Chaudhury, chief executive officer of the company, presented the company's fundamentals.

Officials of BRAC EPL Investments Limited, the issue manager of GNFL, said the company demanded Tk 40 premium for each of its shares of Tk 10.

"The indicative price of GNFL's shares will be approved by the stocks regulator after justifying the bidding prices, quoted by the institutional investors," Mr Khaled Yusuf Farazi said at the road-show.

GNFL will offload 30 million ordinary shares, of which, 60 per cent will be allotted for general public, 20 per cent for eligible investors, 10 per cent for mutual funds, and 10 per cent for non-resident Bangladeshis.

"In our stock market the participation of garment sector is very minimal, compared to other sectors. That's why GNFL plans to go public," Javed Chaudhury, chief executive officer of the company, said during his presentation.

"Our compliance standard is very high, and the company will share its profits with the investors," he added.

HP Chemicals to float Tk 600m IPO

BRAC EPL Investments Limited has recently signed an agreement with HP Chemicals Limited for providing Issue Management and Corporate Advisory service for the forthcoming IPO of the Company.


H P. Chemicals Limited is a
hydrogen peroxide manufacturing company operating since 2005. The company is planning to raise about Tk 600 million from the local capital market under Fixed Price Method.

SEC approves new IPO, right shares

The Securities and Exchange Commission has approved one new initial public offering and right shares of two listed companies.
“Mobil Jamuna Bangladesh Limited has got the approval of the commission to float IPO,” SEC executive director Anwarul Kabir Bhuiyan told journalists on Sunday.
MJBL will come to the capital market under the book building method and plans to raise Tk 508 crore.
The company plans to float 40 million shares with a face value of Tk 10.
Indicative price per share is proposed to be Tk 127, which means that the investors will bid for the share and the lowest price among the bidders will be fixed as the IPO price.
MJBL plans to buy land in Gulshan, build new plant and purchase tanker for Liquid Petroleum Gas Manufacture Limited at Khulna with the capital.
According to the financial statement of 2009, against each share with face value of Tk 10, the MJBL has income of Tk 2.45 and asset worth Tk 11.70.
The company has paid-up capital of Tk 140 crore and Prime Finance will work as the issue manager for MJBL.
Market regulator has also okayed issuance of right shares for Exim Bank and Agni Systems Limited.
Shareholders of both the issues will get one right share against two general shares.
For the issue of Exim Bank, there is no premium for the right shares and the face value will be Tk 10.
Agni Systems has decided to take Tk 10 from its share holders as premium and the price of the shares would be Tk 20.
The SEC has decided also to extend time for banks to separate their brokerage houses from their merchant banks until Nov 30.
Earlier, the market regulator asked all the banks to finish the separation by Friday (Oct 1).
Kabir told reporters any bank failing to complete the separation will face ‘serious actions’.
“The SEC will cancel margin loan facility for the clients of those brokerage houses and the merchant banks if the bank fails to finish the separation by that time,” he added.

BO account maintenance fee goes up.



The stockmarket regulator has imposed an additional Tk 200 in annual maintenance fee on each beneficiary owner (BO) account.
The decision effective from July takes the total annual maintenance fee to Tk 500.
The Securities and Exchange Commission (SEC) took the decision at a meeting yesterday in a bid to increase government revenue from stockmarket. SEC Chairman Ziaul Haque Khondker presided over the meeting.
The maintenance fee will go to the state coffers, and the government will receive around Tk 50 crore a year from around 25 lakh BO accounts now active in capital market.
The SEC first introduced a Tk 300 annual maintenance fee in 2007 to stop the opening of fake or shady BO accounts by using other person's information.
According to rules, of the annual fee of Tk 300, a depository participant gets Tk 100, the CDBL (Central Depository of Bangladesh Limited) Tk 150 and the SEC Tk 50.
Previously, the BO account holders had to pay a custody fee annually to the CDBL, if there were shares in the accounts. The custody fee was calculated on the basis of existing shares in a BO account and an account holder had to pay 0.05 percent of the current market value of the shares.
But it was seen in many occasions that a group of investors participate in the IPOs with many BO accounts, which ultimately cuts the real investors' competitiveness.
A prospective investor pays up to Tk 1,000 to open a BO account.

ACTIVE FINE CHEMICALS IPO APPROVED



At yesterday's meeting, the SEC also gave a go-ahead to Active Fine Chemicals Ltd, a chemical reagent and active pharmaceutical ingredients (API) maker, to raise Tk 16 crore from stockmarket.
Active Fine Chemicals will float 1.6 crore ordinary shares of Tk 10 each to raise the funds, which the company said will strengthen its foothold in a sector that is now heavily dependent on imports.
It will also use a portion of the money to pay off bank loans that it took against its project established in 2004 on 10 acres of land in Munshiganj. The company will pay off Tk 6.55 crore bank loans, while the rest of the amount will be added to the working capital structure for business expansion and for IPO (initial public offering) expenditure.
The company's existing paid-up capital is Tk 24 crore, of which Tk 4 crore was raised through private placement.
As of December 2009, the company's earnings per share (EPS) were Tk 0.51 on net turnover of Tk 2.25 crore. The EPS has been projected to reach Tk 2.30 by the year-end.
As of December 2009, the company's net asset value (NAV) per share was Tk 11.57.
Janata Bank is the issue manager of Active Fine Chemicals IPO.
At present, 20 pharmaceuticals and chemicals companies are listed on the stockmarket.

GREEN DELTA MUTUAL FUND GETS NOD



The stockmarket regulator also approved a Tk 150 crore closed-end mutual fund, sponsored by Green Delta Insurance.
The sponsors will subscribe Tk 15 crore of the 10-yearly fund styled “Green Delta Mutual Fund”. Of the rest amount, Tk 60 crore has been kept for pre-IPO or private placement, while Tk 75 crore will be raised from public through IPO.
Face value of each unit of the fund is Tk 10. LR Global Bangladesh, an asset management company, is the manager of the fund.

RAK Ceramics completes price discovery under book-building

The RAK Ceramics (Bangladesh) Ltd has completed the price discovery of its shares through bidding by eligible institutional investors under the book-building method, the first of its kind in Bangladesh.The highest bidding price of each share, with a face value of Tk 10 and indicative price of Tk 40, was Tk 48 while the lowest bidding price was Tk 40, said a press release.The company is issuing a total of 34.51 million ordinary shares, of which the institutional investors quoted for 6.902 million shares, reported Bangladesh Sangbad Sangstha.Of the rest of the issue, 10 per cent is reserved for non- resident Bangladeshis, 10 per cent is for mutual funds and 60 per cent is for the general public.The weighted and the cut-off price of each share stood at Tk 48 after bidding of the investors, said the press release.Tentative date for public subscription of each share with a value of Tk 48 is from April 11 to 18 and market lot is 200 shares.A total of 175 institutional investors registered with the system of which 168 participated in the bidding.IDLC Finance Ltd is the lead issue manager while BRAC EPL Investments Ltd is the joint issue manager to this IPO and Prime Finance and Investment Limited is the registrar to the issue.The book building is a process where market participants determine price of security.Bidding of company shares was conducted in web-based software available at ‘www.bbsbangladesh.com’, which was introduced jointly by Dhaka Stock Exchange and Chittagong Stock Exchange.The online registration was open from February 25 to 28 while bidding was open from March 1 to 3, said the press release Thursday.
